Terms and Software Licence

The terms for using state.audio and downloading, trying, purchasing, activating and using AmpStudio.

1. About these Terms

These Terms govern access to the State Audio website and the download, trial, purchase, activation and use of AmpStudio. In these Terms, State Audio, we, us and our mean the Australian business operating under the registered State Audio name.

By downloading, installing or using AmpStudio, you agree to these Terms. Material terms are presented before installation or first use, and the accepted version may be recorded for account and compliance purposes.

2. Purchase and Paddle

AmpStudio is offered at a standard base price of US$199 unless a genuine, time-limited promotion is displayed. Paddle presents the available local currency and the final total, including applicable taxes for the customer's location, before payment. If a local currency is unavailable, the price may be shown in US dollars.

Payments through Paddle Checkout are processed by Paddle, which acts as merchant of record for those purchases. Paddle's Buyer Terms and Refund Policy govern payment processing, receipts, taxes and Paddle-administered refunds. State Audio remains responsible for the software licence, delivery, product information and product support.

You must provide accurate account and payment information and must be legally capable of entering the transaction.

3. Trial and ongoing Demo mode

AmpStudio provides 14 days of full access. The start event for the trial will be stated clearly in the download and activation flow before release.

After the trial, the installation continues in Demo mode. Demo mode inserts three seconds of silence every 30 seconds, disables preset saving and loading new captures, and shows the DIM indicator with a DEMO ONLY overlay.

Purchase and successful activation remove the Demo restrictions without requiring a different installation.

4. Perpetual user licence

After a completed purchase, State Audio grants the registered customer a personal, perpetual, non-exclusive licence to use the purchased AmpStudio version under these Terms. The software and its intellectual property are licensed, not sold.

One licence belongs to one registered human user and may be activated on up to three computers used by that person. It is not three shareable user licences. A business or team requires a separate user licence for each person who uses AmpStudio.

5. Account, activation and offline use

Each computer must complete an initial online activation to the registered State Audio account. AmpStudio must not store the customer's account password.

After activation, the purchased copy may operate offline without periodic login or entitlement checks. Internet access is required for first activation, voluntary device deactivation, entitlement recovery and licence transfer.

You are responsible for maintaining control of your account and promptly reporting suspected unauthorised access. Do not share passwords, activation credentials or transfer codes.

6. Moving computers and transferring ownership

You may move an activation to a replacement computer and may transfer or resell the entire perpetual licence. An individual computer activation cannot be sold or separated from the licence.

For an ownership transfer, the authenticated owner requests a single-use Licence Transfer Code. The receiving owner creates their own State Audio account and redeems the code. Redemption moves the complete licence and three-computer allowance to the receiving account.

When a transfer completes, the previous owner must stop using and uninstall every prior copy. State Audio transfers the software entitlement only and does not broker, guarantee or resolve payment between private buyers and sellers.

7. Updates and upgrades

Updates within the purchased major version are included. State Audio may offer a future major version as an optional paid upgrade. Declining an upgrade does not disable the purchased version.

Operating systems, recording hosts and third-party technology change over time. State Audio will publish supported environments and support periods accurately, but cannot promise that an unchanged historical software version will remain compatible with every future third-party system.

8. Download, installation and system care

Use only official State Audio installers and review the supported-system requirements before installing. Back up important projects, presets, captures and system data, close audio hosts and follow the published installation instructions.

AmpStudio stores writable product data in a dedicated State Audio-owned location. Official installers and uninstallers are intended to manage only exact State Audio-owned paths. Normal uninstall preserves user-created presets and captures unless you separately choose to remove them.

To the extent permitted by law, State Audio is not responsible for a failure caused solely by an unsupported environment, an unofficial or modified installer, unauthorised modification, bypassing published requirements, customer misuse or an incompatible third-party change.

9. Acceptable use

You must not:

  • share one user licence between multiple people;
  • copy, redistribute, rent or sublicense AmpStudio except through the permitted whole-licence transfer process;
  • circumvent activation, Demo restrictions or security controls;
  • reverse engineer, decompile or modify AmpStudio except to the extent that applicable law expressly permits and cannot be excluded;
  • use AmpStudio or State Audio services unlawfully, fraudulently or to harm another person or system.

10. Intellectual property and customer work

State Audio and its licensors retain ownership of AmpStudio, its code, interface, factory content, documentation, branding and related intellectual property.

You retain ownership of your musical performances, recordings, sessions and original content. Using AmpStudio does not give State Audio ownership of music you create with it.

11. Support

State Audio provides product, installation, activation and compatibility support through support@state.audio. Paddle provides buyer support for receipts, invoices, payment and Paddle-administered refund matters.

12. Refunds

State Audio provides a 14-day full-access trial and does not promise refunds for change of mind. Refunds remain available where required by applicable law, under Paddle's Buyer Terms and Refund Policy, for qualifying product problems, or as case-by-case goodwill.

A completed full refund ends the paid licence. Connected or reconnecting copies return to Demo mode. The refunded customer must stop using and uninstall the refunded paid copy from every computer.

13. Consumer rights

Nothing in these Terms excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, including rights under the Australian Consumer Law. Consumer guarantees apply automatically and are separate from any voluntary promise made by State Audio.

If AmpStudio has a major problem, is not as described, is unsafe, is substantially unfit for its stated purpose or otherwise fails a mandatory consumer guarantee, the remedies required by applicable law remain available. Depending on the circumstances, these may include repair, replacement, refund or compensation for reasonably foreseeable loss or damage.

14. Product availability

State Audio does not promise that software will be uninterrupted or error-free. Maintenance, security incidents, third-party outages and supported-system changes may occasionally affect downloads, online activation or account functions. Activated purchased copies are designed to continue working offline.

15. Responsibility and liability

Each party remains responsible for loss it causes according to applicable law. Any exclusion or limitation in these Terms applies only to the maximum extent permitted by law and is read subject to all non-excludable rights.

State Audio does not use these Terms to deny responsibility for a genuine defect or to make a customer waive mandatory rights.

16. Suspension and termination

State Audio may suspend online account or entitlement services where reasonably necessary to address confirmed fraud, unlawful use, material licence abuse or security risk. Where practicable, State Audio will give notice and an opportunity to resolve the issue.

A verified full refund or completed licence transfer ends the previous customer's right to use that paid entitlement. Termination does not remove rights or remedies that accrued before termination.

17. Changes to these Terms

State Audio may update these Terms for future downloads, purchases, legal requirements or service changes. The effective date and current version will be published. A material change will not retrospectively convert an owned perpetual licence into a subscription or remove non-excludable rights.

18. Law and disputes

These Terms are governed by the laws applicable in Australia, subject to mandatory rights in the customer's location. Contact State Audio first so the matter can be investigated. Nothing prevents a customer from using a regulator, tribunal, court or dispute process available under mandatory law.
